 1. CHAMBER PERKS APP

The following Terms and Conditions govern and apply to: the use of, or reliance upon the Chamber Perks Mobile App and to your relations with Greater Sudbury Chamber of Commerce in connection with app.

Your access to or use of the mobile app indicates that you have had an opportunity to read and understand these Terms and Conditions and agree to be bound by these Terms and Conditions and any other applicable laws, statues, and/or regulations.  We may change these Terms and Conditions prospectively as we see fit, effective upon its posting to the app. Your continued use of the app will be considered your acceptance of the revised Terms of Conditions.

INTELLECTUAL PROPERTY

All intellectual property on the mobile app is owned by us or our participating members, which includes materials protected by copyright, trademarks, or patent laws.  All content on the mobile app, including but not limited to text, software, code, design, graphics, photos, sounds, videos applications, interactive features, and all other content, is a collective work under Canadian and other copyright laws and is the proprietary property of the Greater Sudbury Chamber of Commerce and its participating members.  All rights reserved.

USE OF INFORMATION FROM APP

We may provide you with certain information as a result of your use of the app including, but not limited to, documentation, data, information, and offers, developed by us and/or our participating members which might assist in the use of the app.  The app material may not be used for any other purpose than the use of this app and the services offered in the app. Nothing in these terms of use may be interpreted as granting any licence of intellectual property rights to you.

ACCOUNT AND ACCOUNT USE

If your use of the app requires an account identifying you as a user or the app (an “Account”)

a) You are solely responsible for the account and the maintenance, confidentially and security of your account and all passwords related to your account, and any or all activities that occur under your account, including all activities of any persons who gain access to your account with or without your permission.

b) You agree to immediately notify us of any unauthorized use of your account, any service provided through your account, or any password related to your account, or any breach of security with respect to your account or any service or offers provided through it, and you agree to provide your assistance to us, as requested to stop or remedy any breach of security related to your account.

c) You agree to provide true, current, accurate and complete customer information as requested or required by us from time to time and you agree to promptly notify us of any changes to this information as required to be kept such information held by us current, complete, and accurate.

ACCEPTANCE

You agree not to use the app for any unlawful purpose, or any purpose set out in these Terms. You agree not to use the app in any way that could damage the app, the services or general business of the Greater Sudbury Chamber of Commerce and its participating members.

You further agree not to use and/or access the app:

    • To harass, abuse, or threaten any Greater Sudbury Chamber of Commerce staff or participating members’ staff, or otherwise violate any person’s legal rights.
    • To violate any intellectual property rights of ours, our participating members or any third party.
    • To upload or otherwise disseminate any virus or other software that may damage the property of another.
    • To perpetrate any fraud.
    • To engage in or create any unlawful activity.
    • To publish or distribute any obscene or defamatory material.
    • To publish or distribute any material that incites violence, hate or discrimination towards any group.
    • To unlawfully gather information about others.

 PROTECTION OF PRIVACY

Through your use of the app, you will be providing us with certain information.  By using the app, you authorize us to use your information in Canada.  Our use of this information will include disclosure of such information to third party providers who provide benefits to users.

When you register for an account, you provide us with a valid email address and may provide us with additional information as required such as individual name.  Depending on how you use the app we may also require information such as company name, company contact information, proof of valid Greater Sudbury Chamber of Commerce membership, username, and an approved chamber perks offer.

We use the information gathered from you to ensure your continued positive experience on our app, including through email communication.  We may also track certain of the passive information received to improve our marketing, analytics, member offers and over all experience, and for this we may work with third-party providers.

REVERSE ENGINEERING & SECURITY

You may not undertake any of the following actions:

a) Reverse engineer or attempt to reverse engineer or disassemble any code or software from or on the app.

b) Violate the security of the app through any unauthorized access, circumvention of encryption or other security tools, data mining or interference to any host, user, or network.

DATA LOSS

We are not responsible for the security of any account or content.  Your use of the app is at your own risks.

INDEMNIFICATION

You defend and indemnify the Greater Sudbury Chamber of Commerce and any affiliates and hold us harmless against all legal claims and demands including legal costs, which may arise from or relate to your use or misuse of the app, your breach of these Terms and Conditions, or your conduct and actions.  We will select our own legal counsel and may participate in our own defense if we wish to do so.

SERVICE INTERRUPTION

We may need to interrupt your access to the app to perform maintenance or emergency service on a scheduled or unscheduled basis.  You acknowledge that your access to the app may be affected by unanticipated or unscheduled downtime, for any reason, we will have no liability for any damages or loss caused as a result of such downtime.

TERMINATION OF ACCOUNT

We may, at our sole discretion, suspend, restrict or terminate your account and your use of the app effective at any time, without notice to you, for any reason, including:

a) because the operation or efficiency of the app or our or any third party’s equipment or network is impaired by your uses of the app,

b) where applicable, any account who membership accounts are past due, or

c) we have received a third-party complaint which relates to the use of misuse of the app.

NO WARRANTIES

Your use of the app is at your sole exclusive risk and any services and offers provided by us, our affiliates and participating members are on an “as is” basis.  We disclaim all express or implied warranties of any kind, including but not limited to the implied warranty of any service or offer for a particular purpose and the implied warranty of merchantability.  We make no warranties the app will meet your needs or that the app will be uninterrupted, error free or secure.  We also make no warranties as to the reliability or accuracy of any information on the app or obtained through the participating members.  Any damages that may occur to you, from the use of the app is your sole responsibility and we are not liable for such damages or loss.

PRIVACY

Internet communications are subject to interception, loss, or alterations, and, as consequences, you acknowledge that information or data you provide by electronic means by accessing or use of the app are not confidential, or exclusive, except to the extent required by the applicable laws and that communications by email may be intercepted, altered, or lost. 

LIMITATION ON LIABILITY

 

We are not liable for damages that may occur to you as a result, of the use of the app, to the fullest extent permitted by law.   This applies to all claims by you, including, but not limited to, lost profits or revenues, consequential or punitive damages, negligence, strict liability, fraud, implied benefits, or wrong doings of any kind.

2. CHAMBER SPONSORSHIP OPPORTUNITIES

The chamber offers over 25 events annually and they provide a variety of sponsorship opportunities for networking, educational, social, and professional signature events.  Our event sponsors are highly marketed through our social media platforms, website, publications, event signage, and our printed, verbal, and email communications.  Members and their businesses may grow their personal and professional networks and gain recognition in the business community.

The details within the chamber’s Sponsorship Agreement governs and applies to the terms and conditions of relationship between and chamber and its sponsors.

3. CHAMBER EVENT TICKET SALES

The chamber provides multiple opportunities throughout its fiscal year for its members and others to attend/participate in the wide variety of events.  The following terms and conditions govern and applies to Chamber Event Ticket Sales:

a) event tickets are sold on a first come, first serve basis;

b) event tickets must be paid for in full at the time they are purchased;

c) event tickets are only guaranteed once they are paid for in full;

d) event tickets may be refunded in accordance with the chamber’s refund policy which is typically one week in advance of the event;

e) non-use of tickets that are not cancelled in accordance with the chamber’s cancellation policy will not be refunded, or credited;

f) event tickets typically have dual pricing – a reduced price for chamber members, and a higher price for general admission;

e) in the unforeseen case where an event may need to be cancelled, the chamber will reimburse all ticket sales.

4. CHAMBER EVENT ATTENDANCE

The chamber provides multiple opportunities throughout its fiscal year for its members and others to attend/participate in a wide variety of events for networking, educational, social, and professional purposes.  The following terms and conditions govern and applies to Chamber Event Attendance:

a) all attendees will abide by the chamber’s Members’ Code of Conduct;

b) members understand, acknowledge, and agree that photographs and video footage will/may be captures during chamber events, and provide full consent for the chamber doing so and for the chamber to use the photos/footage for its promotional use however it so chooses;

c) all attendees agree to abide by the chamber’s COVID-19 rules and requirements;

d) all attendees do defend and indemnify the Greater Sudbury Chamber of Commerce and any affiliates and hold us harmless against all legal claims and demands including legal costs, which may arise from or relate to your attendance at chamber events, use or misuse of alcohol, cannabis, or any other prescribed or unprescribed drug, your breach of these Terms and Conditions, or your conduct and actions. We will select our own legal counsel and may participate in our own defense if we wish to do so;

e) all attendees abide by the venue’s rules and requirements in all matters.

5. CHAMBER JOB PORTAL

The chamber’s Job Portal provides an unparalleled opportunity for chamber members businesses, and local job seekers, to connect.  The job portal offers:

a) chamber members secure login access;

b) local jobs for local people;

c) new job seeker’s portal for candidates seeking employment;

d) filter job applicants to find the right candidates;

e) automatically matches candidates who fit your job criteria; and

f) see how many times your job is viewed; high-exposure advertising opportunities.

The following terms and conditions govern and applies to the Chamber Job Portal:

a) chamber members have the exclusive opportunity to post jobs;

b) chamber members may post as many jobs as they wish;

c) jobs are posted for a select period of time; when the time expires the business will be notified that the posting is about to expire and the business may renew the posting or it will be removed;

d) chamber members may purchase high-exposure advertising on the job portal;

e) the chamber reserves the exclusive right to remove any job postings and/or job seeker’s résumé that are not in keeping with the chamber’s Code of Conduct;

f) the chamber does not guarantee that posting jobs or résumés will results in successful job matches;

g) job seekers do not need to be chamber members to post their résumés;

h) all chamber members who post jobs, and all job seekers, do defend and indemnify the Greater Sudbury Chamber of Commerce and any affiliates and hold us harmless against all legal claims and demands including legal costs, which may arise from or relate to your posting a job vacancy and/or your résumé, your breach of these Terms and Conditions, or your conduct and actions. We will select our own legal counsel and may participate in our own defense if we wish to do so.
